Software-as-a-Service Platform Agreement
The following capitalised terms have the meanings given below throughout this Agreement:
- "Agreement" means these Terms of Use together with the Privacy Policy, the Subscription Order, and any supplemental terms published by Chem-Infinity from time to time.
- "Chem-Infinity / We / Us / Our" means Dr. Nitin Sapre, trading as Chem-Infinity, the sole developer, owner, and operator of the CHEM-∞ platform.
- "Service" means the CHEM-∞ Universal Molecular Generator made available as a software-as-a-service platform accessible via the internet at the designated URL(s) operated by Chem-Infinity.
- "Platform" means the web application, application programming interfaces (APIs), algorithms, databases, documentation, and related tools that together constitute the Service.
- "User / You / Your" means any natural person or legal entity that accesses or uses the Service, including free-trial users, paying subscribers, and authorised representatives of organisations.
- "Subscription" means a time-limited licence to access and use the Service purchased by a User under a selected Subscription Plan.
- "Subscription Plan" means a tier of access (including, without limitation, Basic, Professional, and Enterprise tiers as published on the pricing page) specifying the permitted usage quotas, features, and fees.
- "Subscription Fee" means the periodic charge payable by the User for access to the Service under a chosen Subscription Plan.
- "Generated Output" means any molecular structures, SMILES strings, InChI identifiers, InChIKeys, MOL files, SDF files, CSV databases, PNG images, or other data produced by the Platform in response to User input.
- "User Input" means parameter values, functional group selections, carbon counts, bond specifications, ring counts, and any other data submitted by the User to the Platform to initiate generation.
- "Intellectual Property Rights" means all patents, copyrights, database rights, trade secrets, trade marks, design rights, and all other proprietary rights whether registered or unregistered, anywhere in the world.
- "Confidential Information" means all non-public technical, commercial, and operational information relating to Chem-Infinity or the Service, including source code, algorithms, and pricing structures.
- "Prohibited Use" means any use of the Service that is contrary to Section 7 of this Agreement.
- "Force Majeure Event" means any cause beyond Chem-Infinity's reasonable control, including acts of God, natural disasters, wars, pandemics, government action, power failures, or internet infrastructure outages.
2.1 What CHEM-∞ Does
CHEM-∞ is a computational chemistry SaaS platform that enumerates and generates chemical structure libraries. Given a set of parameters — including but not limited to carbon count, number of rings, double and triple bonds, and functional group specifications — the Platform algorithmically generates all mathematically valid molecular isomers and exports them as structure files (MOL, SDF), canonical SMILES, InChI, InChIKey-tagged entries, and image files (PNG).
2.2 Intended Audience
The Service is designed for use by trained computational chemists, medicinal chemists, cheminformaticians, academic researchers, and pharmaceutical scientists who possess the professional competence to evaluate the scientific validity and fitness-for-purpose of Generated Output. The Service is NOT intended for use by laypersons without relevant scientific training.
2.3 Online SaaS Delivery
The Service is delivered exclusively over the internet as a subscription-based SaaS product. No source code, executable binaries, or offline installation files are provided to Users. Users interact with the Platform solely through the browser-based or API-based front-end interface provided by Chem-Infinity.
2.4 No Access to Source Code
Users are granted access solely to the front-end interface of the Platform. The underlying source code, algorithms, data structures, models, and back-end infrastructure are proprietary and Confidential Information of Chem-Infinity. Users have no right to access, view, copy, decompile, reverse-engineer, or otherwise inspect the source code or back-end logic of the Service in any manner.
3.1 Eligibility
To use the Service, you must:
- be at least 18 years of age;
- have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
- not be barred from using the Service under applicable law, including export control regulations; and
- if registering on behalf of a legal entity, have authority to bind that entity to this Agreement.
3.2 Account Registration
Access to the Service requires the creation of a User account. You agree to:
- provide accurate, current, and complete registration information;
- maintain the security and confidentiality of your account credentials;
- notify Chem-Infinity immediately at nssapre@Chem-Infinity.com of any unauthorised access to your account;
- accept responsibility for all activities that occur under your account, whether or not authorised by you; and
- not share, sell, transfer, or sublicense your account credentials to any third party.
3.3 Account Verification
Chem-Infinity reserves the right to verify the identity and professional credentials of Users and to reject or suspend registrations at its sole discretion, without obligation to provide reasons.
3.4 One Account per User
Each individual User may maintain only one active account. Organisations wishing to provide access to multiple employees or collaborators must purchase an appropriate multi-seat Enterprise Plan.
4.1 Subscription Plans
Chem-Infinity offers tiered Subscription Plans, the details of which (including features, usage quotas, and pricing) are published on the Platform's pricing page. Chem-Infinity may introduce, modify, or discontinue Subscription Plans with reasonable notice.
4.2 Free Trial
Chem-Infinity may, at its discretion, offer a limited free-trial period. Upon expiry of the free trial, continued access requires a paid Subscription. No automatic conversion to a paid plan will occur without the User's express consent.
4.3 Fees and Currency
Subscription Fees are displayed on the pricing page in the applicable currency. Fees for Users in India are payable in Indian Rupees (INR). International Users may be charged in INR or in the currency specified at checkout. All fees are exclusive of applicable taxes unless stated otherwise.
4.4 Taxes
Users are responsible for all applicable taxes, levies, duties, and government charges, including Goods and Services Tax (GST) in India, value-added tax (VAT), and withholding taxes. Chem-Infinity will add applicable Indian GST to invoices issued to Indian Users. International Users are solely responsible for determining and remitting any taxes applicable in their own jurisdictions.
4.5 Payment Processing
Subscription Fees are collected through third-party payment processors integrated with the Platform. By providing payment information, you authorise Chem-Infinity and its payment processor to charge the applicable fees on the billing cycle selected. Chem-Infinity does not store raw payment card details on its servers.
4.6 Automatic Renewal
Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current Subscription Fee, unless the User cancels before the renewal date in accordance with the cancellation procedure published on the Platform.
4.7 Price Changes
Chem-Infinity reserves the right to revise Subscription Fees at any time with not less than thirty (30) days' prior written notice to the registered email address of affected subscribers. Continued use of the Service after the notice period constitutes acceptance of the revised fees.
4.8 Invoices and Records
Electronic invoices or receipts will be issued upon successful payment. It is the User's responsibility to retain these records for accounting and tax purposes. Chem-Infinity is not liable for any losses arising from the User's failure to retain payment records.
5.1 General Non-Refundable Policy
Given the nature of the Service as a digital computational tool that delivers immediate value upon access, and in accordance with applicable Indian law regarding digital services, all Subscription Fees are non-refundable once paid. By completing a purchase, you acknowledge and agree that:
- You have read and understood the description of the Service and the nature of Generated Output before purchasing;
- Digital services of this nature are not subject to the standard cooling-off period under applicable consumer protection law, to the maximum extent permitted by law;
- No refund will be issued due to dissatisfaction with the nature, format, completeness, or scientific utility of Generated Output;
- No refund will be issued if you choose not to use the Service during your paid subscription period;
- No refund will be issued if you decide to cancel your Subscription before the end of the then-current billing period.
5.2 Incorrect Download or Generation of Compounds
Chem-Infinity expressly excludes any obligation to issue refunds arising from:
- User error in specifying input parameters (including incorrect carbon counts, bond types, ring specifications, or functional group selections);
- The User downloading files in an incorrect format or to an incorrect location;
- Generation of structures that do not match the User's intended chemical targets due to incorrect parameter input;
- Incompatibility of Generated Output with third-party software used by the User;
- Duplicate structures generated due to symmetry-equivalent isomers, which is an inherent property of combinatorial enumeration;
- The User's failure to understand the relationship between input parameters and the combinatorial space of Generated Output.
5.3 Technical Failures
If the Platform experiences a verified, sustained technical failure (as determined solely by Chem-Infinity) that prevents a User from accessing the Service for a period exceeding seventy-two (72) consecutive hours, Chem-Infinity may, at its sole discretion, provide a pro-rata service credit (not a cash refund) applicable against the User's next billing cycle. Such credit is Chem-Infinity's sole liability in respect of service interruptions.
5.4 Exceptions Under Law
Nothing in this Section shall exclude or limit any statutory rights that cannot be waived under mandatory applicable law. Where applicable law in a User's jurisdiction provides a non-excludable right to a refund, Chem-Infinity will comply with that minimum legal requirement only.
6.1 Ownership
The Platform — including its source code, object code, algorithms, data structures, databases, user interface designs, branding, documentation, and all related materials — is and shall remain the exclusive Intellectual Property of Chem-Infinity. No title or ownership is transferred to Users by virtue of this Agreement or by payment of any Subscription Fee.
6.2 No Source Code Access
The Platform is made available to Users as a hosted service. Users are granted access to the front-end interface only. In no circumstances shall any User be entitled to:
- access, view, or obtain a copy of the source code, object code, algorithms, or database schemas underlying the Service;
- inspect, probe, or monitor the back-end infrastructure, server responses (beyond standard API responses), or data flows of the Platform;
- use network analysis tools, browser developer tools beyond ordinary use, automated scrapers, or any other technical means to extract or reconstruct proprietary logic;
- request, demand, or seek legal compulsion for disclosure of source code, algorithms, or trade secrets, except as may be required by a court of competent jurisdiction under applicable law.
6.3 Licence Grant
Subject to the User's compliance with this Agreement and payment of applicable Subscription Fees, Chem-Infinity grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform's front-end interface solely for the User's own internal research or commercial purposes, within the scope of the applicable Subscription Plan.
6.4 Ownership of Generated Output
Chem-Infinity acknowledges that molecular structures per se are not in themselves eligible for copyright protection under general principles of intellectual property law. However, the algorithms, SMARTS definitions, nomenclature logic, and enumeration methodology that produce the Generated Output remain the exclusive property of Chem-Infinity. The User is granted a licence to use the Generated Output for their own research, development, and commercial screening purposes, subject to compliance with this Agreement.
6.5 Chem-Infinity Branding
The CHEM-∞ name, logo, taglines, and associated branding are trade marks of Chem-Infinity. Users may not use, reproduce, or adapt Chem-Infinity's trade marks without prior written consent, except that Users may accurately identify Chem-Infinity as the source of the Service in academic publications and scientific papers in accordance with standard citation practice.
6.6 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant Chem-Infinity a perpetual, irrevocable, royalty-free, worldwide licence to use such feedback for any purpose, including incorporating it into the Service, without any obligation to compensate you.
7.1 Permitted Use
You may use the Service for:
- academic, non-commercial research and publication;
- commercial drug discovery, virtual screening, and docking library preparation;
- internal product development and research-and-development activities; and
- teaching and educational purposes within your institution, subject to applicable Subscription Plan limits.
7.2 Prohibited Use
You must not use the Service to:
- generate, enumerate, or design chemical structures for the purpose of synthesising or facilitating the synthesis of controlled substances, chemical weapons, explosives, or any substance whose manufacture or possession is prohibited under applicable law;
- circumvent, disable, or otherwise interfere with security features of the Platform;
- attempt to reverse-engineer, decompile, disassemble, or derive the source code, algorithms, or proprietary logic of the Platform by any means;
- systematically extract data from the Platform by means of automated scripts, bots, web scrapers, or API abuse beyond the documented and authorised API rate limits;
- reproduce, redistribute, sublicense, sell, or commercially exploit the Platform or any portion thereof to third parties without express written authorisation from Chem-Infinity;
- upload or submit to the Platform any malicious code, viruses, or data intended to harm the Platform or other users;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use the Service in any manner that violates applicable law, regulation, or professional obligation; or
- share your account credentials or allow third parties to use the Service under your account.
7.3 Consequences of Prohibited Use
Breach of this Section entitles Chem-Infinity to immediately suspend or terminate the User's account without notice or refund, and to pursue any available legal remedies including injunctive relief and claims for damages.
8.1 Data Collected
Chem-Infinity collects and processes personal data (including name, email address, institution, payment information, and usage logs) in connection with the operation of the Service. Details of data collected, processing purposes, and User rights are set out in the Chem-Infinity Privacy Policy.
8.2 User Input Data
Chem-Infinity may collect and store User Input (the parameters submitted to generate structures) for service delivery, platform improvement, debugging, and statistical analysis. Chem-Infinity will not sell individual User Input data to third parties.
8.3 Data Localisation and Transfers
Chem-Infinity is based in India and primarily processes data in India. Where data is transferred to service providers outside India (for example, cloud infrastructure or payment processors), We will ensure that such transfers comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023 (India) when operative.
8.4 User Rights
Users may exercise their rights to access, correct, port, or erase their personal data by contacting Chem-Infinity at nssapre@Chem-Infinity.com.
8.5 Security
Chem-Infinity implements reasonable technical and organisational security measures to protect User data and the Platform. However, no internet-based service is entirely free from risk. Users are responsible for maintaining the security of their own devices and credentials.
9.1 Computational Nature of Output
The Platform generates molecular structures algorithmically based on mathematical rules of chemical valence, graph theory, and SMARTS-based functional group enumeration. While Chem-Infinity endeavours to ensure the correctness of the enumeration logic, Generated Output represents computationally enumerated structures and is not experimentally validated.
9.2 No Guarantee of Synthesisability
The presence of a structure in Generated Output does not guarantee that such structure is chemically stable, physically isolable, synthetically accessible, or appropriate for any particular experimental or therapeutic application. Users with scientific training are solely responsible for evaluating the synthesisability, stability, toxicity, and fitness-for-purpose of any Generated Output.
9.3 No Scientific Advice
Chem-Infinity does not provide scientific advice, medicinal chemistry guidance, toxicology assessments, regulatory opinions, or drug development recommendations. Generated Output is a data product to be interpreted by qualified professionals. Nothing in the Generated Output or in any communication from Chem-Infinity constitutes professional scientific, medical, or regulatory advice.
9.4 User Responsibility for Results
Users assume full and sole responsibility for any decisions made, experiments conducted, or products developed on the basis of Generated Output. Chem-Infinity disclaims all liability for any loss, harm, damage, or regulatory non-compliance arising from the use of or reliance upon Generated Output.
Without limiting the foregoing, Chem-Infinity expressly disclaims:
- any implied warranty of merchantability, fitness for a particular purpose, or non-infringement;
- any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components;
- any warranty regarding the accuracy, completeness, scientific validity, or fitness-for-purpose of Generated Output;
- any warranty that Generated Output will be compatible with third-party software, docking engines, or cheminformatics pipelines used by the User; and
- any warranty arising from course of dealing, course of performance, or trade usage.
Some jurisdictions do not permit the exclusion of implied warranties. To the extent such warranties cannot be excluded, they are limited to the minimum duration required by applicable law.
11.2 Cap on Liability
Chem-Infinity's total aggregate liability to any User for all claims arising under or in connection with this Agreement — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total Subscription Fees paid by that User to Chem-Infinity in the three (3) months immediately preceding the event giving rise to the claim.
11.3 Essential Basis of the Bargain
The User acknowledges that the limitations of liability in this Section reflect a reasonable allocation of risk, are an essential element of the basis of the bargain between the parties, and that Chem-Infinity would not provide the Service on these terms in the absence of such limitations.
11.4 Mandatory Exceptions
Nothing in this Agreement excludes or limits Chem-Infinity's liability for fraud or fraudulent misrepresentation, death or personal injury caused by Chem-Infinity's negligence, or any other liability that cannot be excluded or limited by applicable Indian law.
You agree to indemnify, defend, and hold harmless Chem-Infinity, its proprietor, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of or access to the Service;
- your breach of this Agreement or of any applicable law or regulation;
- your User Input, including any infringing, unlawful, or harmful content submitted to the Platform;
- any claim by a third party arising from your use of Generated Output; or
- any Prohibited Use as defined in Section 7.
The Platform may integrate with or reference third-party services (including payment processors, cloud infrastructure providers, and cheminformatics databases). Chem-Infinity is not responsible for the content, privacy practices, or availability of any third-party service. Your use of third-party services is governed by their respective terms and policies. Chem-Infinity shall not be liable for any loss or damage arising from your use of or reliance upon third-party services.
14.1 Availability
Chem-Infinity will use commercially reasonable efforts to maintain Service availability. However, the Service may be temporarily unavailable due to scheduled maintenance, unscheduled downtime, infrastructure issues, or Force Majeure Events. Chem-Infinity does not guarantee any specific uptime percentage unless expressly agreed in writing in an Enterprise-level Service Level Agreement.
14.2 Maintenance Windows
Chem-Infinity will endeavour to give reasonable advance notice of scheduled maintenance windows via email or in-Platform notice, except in cases of urgent or emergency maintenance.
14.3 Modifications to the Service
Chem-Infinity reserves the right to modify, update, enhance, or remove any feature, functionality, or content of the Service at any time without prior notice. No modification shall give rise to any right of refund or compensation, provided that material reductions in core functionality will be communicated to active subscribers with reasonable advance notice.
15.1 Termination by User
You may cancel your Subscription at any time through the account management interface or by contacting Chem-Infinity. Cancellation takes effect at the end of the then-current billing period. No refund is payable for the remainder of the current billing period.
15.2 Suspension or Termination by Chem-Infinity
Chem-Infinity may suspend or terminate your access to the Service, with or without notice, if:
- you breach any provision of this Agreement;
- you fail to pay applicable Subscription Fees;
- you engage in or are suspected of engaging in Prohibited Use;
- Chem-Infinity is required to do so by law or by order of a competent authority; or
- Chem-Infinity, in its sole discretion, decides to discontinue the Service.
15.3 Effect of Termination
Upon termination or expiry of your Subscription, your licence to access the Service immediately ceases. Chem-Infinity may delete your account data in accordance with the Privacy Policy. Sections 1, 6, 9, 10, 11, 12, 17, and 19 shall survive termination of this Agreement.
16.1 International Availability
The Service is available to users worldwide, subject to applicable export control, sanctions, and regulatory requirements. Chem-Infinity operates the Service from India and makes no representation that the Service is appropriate or lawful for use in all countries.
16.2 User Compliance with Export Laws
Users are solely responsible for ensuring that their use of the Service — including the export or re-export of Generated Output — complies with the export control laws of India (including the Foreign Trade (Development and Regulation) Act, 1992 and the SCOMET list), the laws of the United States (including the Export Administration Regulations), the European Union's dual-use goods regulations, and all other applicable export control or sanctions regimes.
16.3 Dual-Use Restriction
Users must not use the Service to generate or export molecular structures in a manner that violates applicable dual-use goods regulations or that facilitates the development of chemical weapons, biological weapons, or other weapons of mass destruction. Any such use is strictly prohibited and constitutes a material breach of this Agreement.
16.4 Sanctioned Jurisdictions
Chem-Infinity does not knowingly provide the Service to Users in jurisdictions subject to comprehensive international sanctions. Users in such jurisdictions are not permitted to use the Service.
17.1 Governing Law
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
17.2 Jurisdiction
The courts of Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement, subject to the arbitration clause below. By using the Service, international Users irrevocably submit to the jurisdiction of Indian courts for disputes not resolved through arbitration.
17.3 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration shall be Bhopal, Madhya Pradesh, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding.
17.4 Interim Relief
Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
17.5 Consumer Protection — Indian Users
Nothing in this Section shall exclude or limit the rights of Indian consumers under the Consumer Protection Act, 2019, to file complaints with relevant consumer forums in India where such rights are mandatorily applicable.
17.6 International Users — Local Law
International Users acknowledge that by accepting this Agreement they are submitting to Indian jurisdiction. However, where mandatory consumer protection laws of the User's home jurisdiction cannot be lawfully excluded, those minimum protections shall continue to apply in addition to the terms of this Agreement.
Chem-Infinity reserves the right to amend these Terms of Use at any time. Material changes will be communicated to active subscribers by email to the registered email address and/or by prominent in-Platform notice, with not less than thirty (30) days' notice before the revised terms take effect. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Service and cancel your Subscription before the effective date of the revision. Chem-Infinity maintains version-controlled historical copies of past Terms, which are available upon written request.
19.1 Entire Agreement
This Agreement (together with the Privacy Policy and any applicable Subscription Order) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous representations, warranties, communications, and agreements, whether written or oral, relating to the Service.
19.2 Severability
If any provision of this Agreement is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.
19.3 Waiver
No failure or delay by Chem-Infinity in exercising any right under this Agreement shall constitute a waiver of that right. A waiver of any right in a specific instance does not constitute a waiver of that right in any future instance.
19.4 Assignment
You may not assign or transfer this Agreement or any of your rights or obligations under it without the prior written consent of Chem-Infinity. Chem-Infinity may assign this Agreement, in whole or in part, in connection with a merger, acquisition, or sale of assets, or to a successor entity, without your consent.
19.5 No Partnership or Agency
Nothing in this Agreement creates any partnership, joint venture, employment, franchise, or agency relationship between Chem-Infinity and any User.
19.6 Force Majeure
Chem-Infinity shall not be liable for any delay or failure in performance resulting from a Force Majeure Event, provided that Chem-Infinity notifies the User as soon as reasonably practicable and takes reasonable steps to mitigate the impact of the Force Majeure Event.
19.7 Language
This Agreement is executed in the English language. In the event of any conflict between this English-language Agreement and any translation thereof, the English text shall prevail.
19.8 Headings
Section headings are for convenience only and shall not affect the interpretation of this Agreement.
19.9 Notices
All notices from Users to Chem-Infinity under this Agreement must be sent in writing to nssapre@Chem-Infinity.com. Chem-Infinity may send notices to Users at the email address registered with their account. Notices shall be deemed received on the next business day after transmission.
